Another sensational file is being prepared for SPAK, where as in any construction of major public works, it could not have been otherwise with the Vlora International Airport, a very strategic asset of Albania, the operation of which would bring development to southern Albania.
The recent actions of construction firms, which won a large concession from the government at the "table", have raised great doubts about the entire operation, where the work could even fall into the "wrong hands". Data researched by VoxNews shows that the concession was initially awarded to the firm of controversial businessman Behgjet Pacolli and a Turkish firm, directly linked to the builders of the Llogara Tunnel.
Then, the Turks leave, transferring the shares to Pacolli with papers. But, more than the change of hands, the actions of Mabco Constructions are "very suspicious" , which, after having signed a large loan with BKT, takes out another loan, this time many times higher than the first one.
In both cases, the shares in Vlora Airport, a very strategic asset for Albania, were left as collateral. But if the owners of BKT are known to be Turkish and have strong ties to our country, are the owners of the bank in Luxembourg where Pacolli received the second loan known?
Suspicious movements that undoubtedly deserve a full and in-depth investigation, as it concerns a work of particular importance, where the " owner" is undoubtedly the Albanian state. These agreements have been made to the detriment of the interests of the Albanian state itself, because if the loan is not paid and the shareholders' disputes continue, who will take over the Airport?!

The internal disputes between Adem and Pacolli have reached the courts, the prosecution and SPAK itself. Their reports and depositions against each other have been contradictory, while law enforcement agencies have begun to collect data on suspicious transactions, mainly Mabco. VoxNews has previously reported on the appointments and dismissals of VIA administrators, where after Pacolli dismissed Adem's people, the latter turned to the Tirana Court and managed to secure a court decision, which allowed him to block and not alienate 49% of the shares, against 51% of Pacolli.
On December 30, 2025, the bailiff Euglent Osmanaj filed a file with the National Business Center, which included the decision of the Tirana Court, ordering " the suspension of the voting rights of the partner, the company 'Mabco Constructions SA', for any decision related to the alienation of 47% of the shares in the company 'Vlora International Airport-VIA', in favor of third parties, until the conclusion of this trial".

In the last months of 2025, the parties went to the Tirana Court, where a decision was made in October, where a lawsuit insurance was imposed for the non-alienation of the quotas. The court's decision sheds light on Pacolli's suspicious transaction for obtaining a 100 million euro loan, without asking the other partner.
"The company 'Mabco', unilaterally, without obtaining the approval of the other partner of VIA sh.pk, namely the company '2A Group', has entered into a loan agreement with an unknown lending entity, through the mediation of this agreement by Delfos. This loan agreement (secret to the partner - the company '2A Group'), has as its object the granting of a loan in the amount of 100,000,000 euros and was entered into without the approval of the meeting of the assembly of the partners of VIA sh.pk, with the aim of realizing or financing the VIA project", the court's decision states.
It is further specified that the project for which the Concession Contract was signed was left as a guarantee.
"This contract, although apparently a loan contract, is in fact a contract for the sale of the project for which the Concession Contract was concluded to an unknown lending/creditor company. Through this contract, VIA Company is not only charged with paying additional obligations in relation to bank interests in an unjustified manner (these interests are much higher than those that VIA had with BKT), but also based on the fact that through this contract an unknown lending entity is given the right to intervene in all financial policies of VIA Company", the decision continues.
Serious accusations for a major and strategically important act, but the parties continue to clash and to date, state institutions have not taken any action. The other shareholder, 2A Group, claims that, through this loan agreement, VIA and the entire Concession Contract project passes into the absolute possession of the unknown lender. Moreover, the loan was obtained without the approval of the concessionaire itself, the Ministry of Infrastructure and Energy.

Në vendimin e gjykatës ka fjali tepër të rënda, që duhet të alarmonin strukturat inteligjente dhe ato ligjzbatuese, pasi pretendohet se projekti i është shitur një huadhënësi të panjohur nga shoqëria “Mabco Constructions SA”, në mënyrë të paligjshme, duke vënë në rrezik deri edhe sigurinë kombëtare për pasojat që mund të kenë në veprën që po ndërtohet. Madje, mbetet i paidentifikuar përfituesi fundor i këtyre veprimeve të paligjshme që po realizohen.
Marrëveshja, ndonëse i paraqitur në formën e një marrëveshjeje huaje midis shoqërisë “Mabco Constructions S.A.” dhe “Delphos Securities SARL”, në substancë nuk përmban karakteristikat e një huaje klasike bankare, por marrjen e kontrollit ekonomik dhe operacional mbi aeroportin përmes instrumenteve të borxhit.
Në fund, gjykata konstaton se ekzistojnë disa akte të shitblerjes së kuotës prej 47% nga shitësi, Mabco Constructions SA, tek blerësi, 2A Group sh.p.k., që ka sjell rezultatin fundor të raportit të kuotave në masën 49% - 51% në favor të Mabco Constructions SA, por të panjohura dhe të pareflektuara e pasqyruara në QKB.


Po nëse Pacolli mori një kredi 100 milionë euro në Luksemburg, për të cilën ortaku tjetër Ademi shkruan se origjina është e dyshimtë, po paratë e kredisë në vitin 2023 ku përfunduan?!
Disa javë më parë, VoxNews ka publikuar ekskluzivisht një dokument ku rezulton se koncesionari i Aeroportit të Vlorës ka marrë një kredi të majme në BKT. Ka dyshime të madhe se këto para përfunduan në “xhepat” e firmës turke, bashkëortake fillimisht me Pacollin, por që u largua më pas pa bërë asnjë punim.
Redaksia e VoxNews ka hulumtuar dokumente bankare dhe nga Qendra Kombëtare e Biznesit, teksa hetimet nëse ka apo jo ndonjë vepër penale, u takojnë organeve ligjzbatuese. Sipas dokumentit, në datën 23 mars 2023 është bërë një marrëveshje siguruese mbi kuotat e shoqërisë koncesionare që po ndërton Aeroportin e Vlorës.
Barrëmarrësi është BKT-ja, teksa barrëdhënësit janë “Mabco Constructions” dhe kompania “2A Group SH.P.K”. Në të njëjtin dokumentet përshkruhet se VIA është shoqëria koncesionare e krijuar në përputhje me kontratën e koncesionit për “përojektimin, ndërtimin, mirëmbajtjen dhe transferimin e Aeroportit Ndërkombëtar të Vlorës”, të lidhur më datë 24 prill 2021 midis bashkimit të operatorëve “Mabco”, YDA INSAAT SANAY dhe 2A group shpk.
“Midis bankës si kredidhënëse dhe shoqërisë Vlora International Airport – VIA shpk, në cilësinë e kredimarrësit, është nënshkruar më datë 23.03.2023 një kontratë kredie me numër 1020 repertori de numër 398 kol, hartuar pranë noteres për shumën 56.000.000 euro, me qëllim realizimin e projektit”, thuhet në dokument.
Një kredi e stërmadhe që këto firma kanë marrë nga BKT-ja, pas së cilës ka të tjera dyshime se bëhet fjalë për paratë e marra qyl nga Tuneli i Llogarasë.

Despite the fact that the Turkish firm was also mentioned in the loan agreement, the fact is that it left as a shareholder of Vlora Airport in September 2022. The company YDA INSAAT SANAY sold the shares to the company MABCO Constructions, which became a 98% shareholder, leaving the company 2A with only 2% of the shares.
A criminal investigation has been launched by the Tirana Prosecutor's Office into these shares, as the 2A company claims that it owns 49% and that the Turks have not done any work.
