The total impasse of Vlora Airport as a result of the fierce conflict between its two shareholders may lead to an extreme solution. Kapitali has learned that the government is considering the option of nationalizing the airport if Behgjet Pacolli and Valon Ademi do not reach an agreement on the shares.

"In case the shareholders do not find a solution to unblock the construction of the Airport, one of the options is for the state to nationalize the concession against a payment equal to the book value on the company's balance sheet, taking advantage of the concessionaire's failure to fulfill the contract," a source from within the government told Kapital.

Although it was supposed to open in April of this year, the Vlora airport was never completed. Moreover, for months, construction work on the project has been completely halted due to a dispute between two shareholders of the concession company, Behgjet Pacolli and Valon Ademi.

It is precisely the delays in the construction of the airport, which have already resulted in its complete blockage, that is the reason why the Albanian government may intervene directly through nationalization to unblock the situation.

Conflict and sales attempts

At the heart of the Vlora airport blockade lies a conflict between two of its shareholders over the share of the shares. Currently, Behgjet Pacolli owns 98 percent of the shares in Vlora airport, through the company Mabco. While Valon Ademi with the company 2A Group owns 2 percent. But Mr. Ademi claims that he is entitled to 47 percent of the shares.

The disputes erupted publicly after an investigation by Kapital about a month and a half ago, after which the two shareholders accused each other of fraud through their social networks. The parties have now begun legal proceedings with lawsuits and counterclaims, while the Airport remains blocked.

Over the past few months, the government has intervened to find a solution to the conflict. Initially, Edi Rama called Pacolli to be prime minister, while later the government pushed for the sale of the concession.

Kapitali has learned that several potential buyers, including a group from Qatar, have shown interest in Vlora airport. But the attempts have not been finalized as long as the shareholders do not agree on the share of shares and consequently the division of money from the sale.

Transferring the conflict between shareholders to the jungle of the judiciary risks keeping the Vlora airport blocked for a long time, until the court decisions become final. In Albania, this lasts for years, which would be a huge political cost for the government, but also economic, depriving the Albanian tourism center of the airport.

For these reasons, the option of nationalization has now emerged as the only solution to a complete impasse, which should now also be the subject of SPAK investigations to verify who is really behind the game with the shares of Vlora airport./ Kapitali.al
