Clashes over Vlora Airport, MABCO responds to government ultimatum: Implement

The company MABCO Constructions SA has reacted to the ultimatum of the Ministry of Infrastructure and Energy to resolve the conflict between the partners of the Vlora International Airport within 30 days, stating that it is ready to participate in any dialogue or mediation process, but emphasizing that any discussion must start from the implementation of the latest decision of the Supreme Court.

In a public statement, MABCO states that it welcomes any institutional initiative aimed at restoring normality to the functioning of the concessionaire company and completing the airport project, which it considers of strategic importance for the country.

The company emphasizes that the Supreme Court decision, taken a few days ago, has overturned the security measures that limited the exercise of its rights as a majority partner in the concession company “Vlora International Airport” (VIA), restoring the legal situation according to the current ownership structure. According to MABCO, the company continues to remain the owner of 98 percent of VIA’s shares and this status should be the basis on which any further institutional or negotiation process will be built.

"MABCO expresses its full willingness to participate in any dialogue, coordination or mediation process initiated by the Ministry of Infrastructure and Energy," the statement said.

However, the company lists several conditions that it considers essential for the success of this process. Among them are full compliance with the Supreme Court's decision, guaranteeing unrestricted access to the construction site for its representatives, specialists, employees and subcontractors, as well as providing access to the project's technical, administrative and financial information.

MABCO also announces that it has initiated steps to restore corporate normality at VIA, by convening the company's decision-making bodies according to the Albanian statute and legislation.

The statement comes a day after the Ministry of Infrastructure and Energy officially asked MABCO and 2A Group to launch a joint process to resolve the disputes, warning that in the event of failure of dialogue within 30 days, the state will exercise all rights recognized by the concession contract and the legislation in force to protect the public interest.

At the end of its response, MABCO declares that it remains committed to the completion, certification and commissioning of Vlora International Airport, while reserving all rights deriving from the concession contract, Albanian legislation and international investment protection instruments.

MABCO STATEMENT

Regarding the letter of the Ministry of Infrastructure and Energy no. 4628 prot., dated 29.05.2026

MABCO Constructions SA has become aware of the content of the letter of the Ministry of Infrastructure and Energy no. 4628 prot., dated 29.05.2026, regarding the situation in the Vlora International Airport project.

MABCO welcomes any institutional initiative aimed at restoring normality in the functioning of the concession company and the speedy completion of a project of strategic importance for the Republic of Albania.
First, it is important to note that with the recent decision of the Supreme Court, the security measures that had limited the exercise of MABCO's rights as a majority partner of the concession company VIA sh.pk have been overturned.

This decision has restored the legal situation in accordance with the legal and corporate status of the parties and constitutes the basis on which any further institutional process should be built. MABCO remains the majority shareholder of VIA with 98% of the quotas, according to registered and legally valid data. Other issues related to claims on the ownership structure are the subject of ongoing legal proceedings and will be handled by the competent authorities. During the period October 2025 – May 2026, MABCO has continuously raised concerns with state institutions regarding the limitation of the exercise of its rights as a majority shareholder and the consequences that this situation could bring for the progress of the project. In this context, MABCO has filed dozens of official letters and requests, in order to protect the interest of the project and avoid further delays. Following the Supreme Court's decision, our priority is not to return to past debates, but to restore the normal functioning of the concession company and accelerate all processes related to the completion, testing, certification and commissioning of the airport.

In this context, MABCO has taken the necessary steps to restore corporate normality to VIA, including the convening of the company's decision-making bodies in accordance with the statute and Albanian legislation in force. MABCO expresses its full readiness to participate in any dialogue, coordination or mediation process initiated by the Ministry of Infrastructure and Energy, with the aim of addressing outstanding issues and ensuring the normal continuation of the project. However, MABCO believes that any such process should be based on several fundamental principles:

1) full compliance with the Supreme Court decision and the rights deriving from it;
guaranteeing full and unrestricted access to the project for MABCO's representatives, specialists, employees and subcontractors;

2) enabling access to technical, administrative and financial information necessary for assessing the current status of the project;

3) the development of further processes in accordance with the Concession Contract, VIA's statute and Albanian legislation.

MABCO emphasizes that any assessment of the terms, obligations or consequences of the period during which the exercise of its rights was limited must be made objectively, fairly and in accordance with the factual and legal circumstances created during this period. MABCO remains committed to a single goal: the successful completion of the Vlora International Airport, its certification according to international standards and its commissioning in the interest of the citizens of the Republic of Albania.

Mabco Constructions SA reserves all rights arising from the Concession Contract, Albanian legislation in force, as well as international investment protection instruments, to return a full response as soon as the letter published in the media reaches us as official communication and to resolve this dispute in accordance with the law and international agreements.
