Vlora Airport

The National Business Center has canceled the decision to register the sale of 47 percent of shares in Vlora Airport from Behgjet Pacolli's Mabco company to Valon Ademi's 2A Group.

The unusual decision revokes the registration of the sale that the Central Bank itself had made a week earlier, following the request of the administrator of the concession company VIA.

It all started on October 15, 2026, when the administrator of the Vlora International Airport concession company, Vegim Hoxha, submitted an application to register the famous April 2025 contract for the sale of shares.

Through this contract, 47% of the shares of Vlora Airport are transferred from Mabco to 2A Group, bringing the share ratio in the Airport to 51% for Pacolli and 49% for Ademi. The Central Bank initially approved this application on October 19, but this action was appealed by Mabco and Pacolli.

Without the consent of BKT, the transfer is declared illegal.

The administrative investigation of the Central Bank of Kosovo revealed that the company "2A Group" had simply sent a formal notification to the BKT bank for this sale, but had never received official written consent from it.

The Albanian Law "On Security Liens" and the Civil Code clearly stipulate that no property or share placed as a bank guarantee can be alienated without the signature of the lending institution.

Kapitali has learned that the lawyers themselves were in a dilemma as to whether just BKT's notification was enough or whether 2A Group needed to also obtain the consent of this bank, which provided a 56 million euro loan for the construction of the Airport.

In the end, they decided that the registration of the sale of shares also requires the consent of the Central Bank, thus repealing the registration of a week ago.

"Article 690 of the Civil Code sanctions the binding force of the contract for the parties. Law no. 8537/1999, "On security liens", as amended, regulates the legal regime of liens; the specific restriction on the disposal of quotas derives from the deposited agreement. Consequently, the failure to administer consent constitutes a deficiency that must be assessed in relation to the legality of the approval of the registration, without being automatically equated with the invalidity of the transfer contract," the annulment decision states.

For this reason, the Central Bank has decided to accept MABCO's appeal and cancel the administrative act of approval, dated 19.10.2026, of application CN-711779-10-26, for the registration of the transfer of shares of the company " Vlora International Airport - VIA" sh.pk./ Kapital
